We are pleased to have successfully completed another important transaction, during which our client, Groa Capital, acquired the “Meraki” office building in Vilnius. The legal structure of the transaction differed from the market-typical acquisition of shares in the real estate owner, as it involved the transfer of the real estate itself along with the transfer of the business generating income from it, from a tax perspective.
We provided comprehensive legal assistance to Groa Capital throughout all stages of the transaction – conducting thorough legal due diligence, preparing and negotiating the memorandum of intent and the purchase-sale agreement, representing the client in negotiations with the buyer and financier, and successfully completing the notarization of the transaction.
